Bylaws

Article I--Name

The name of the organization shall be The New Hampshire Old Graveyard Association.

 

Article II--Object

The object of the association is to promote knowledge of New Hampshire history by bringing together people interested in old graveyards; to foster interest in the discovery, restoration and maintenance of these graveyards; and to preserve records and information which relate to them.

 

Article III--Members

Membership in the organization is open to any person or organization subscribing to its object as set forth in Article II and paying annual dues.

Article IV--Dues


Section 1--Dues of Individual and Organizational members shall be paid annually; amount to be set by a 2/3 vote at the Annual Meeting.

Section 2--All dues shall be payable in advance, on or before the Annual Meeting.

Section 3--Members whose dues remain unpaid for three(3) years may be dropped from membership by a vote of the Executive Board.

Section 4--The fiscal year shall be from May 1st (1) through April thirtieth (30) of the following year.

 

 

 

 

 

 

 

Article V--Officers and Their Duties


Section 1--The officers of the Association shall be President, Vice President, Secretary, Treasurer, and Auditor.

Section 2--The President shall preside at the meetings of the Association and the Executive Board. The President shall appoint all committee chairmen and be an ex-officio member of all committees except the nominating committee.

Section 3--The President shall be authorized to sign checks and assume other duties of the Treasurer in the event of the inability of that officer to function.

Section 4--The Vice President shall become President, if a vacancy occurs in that office, for the unexpired term.

Section 5-The Secretary shall record the minutes of the Association meetings and shall provide a copy of the Association meeting minutes to the Executive Board prior to the next meeting. The Secretary may also conduct the correspondence of the Association.  The Secretary has the right to delegate some of the duties to a member of NHOGA.

Section 6--The Treasurer shall receive all monies due the Association, collect all dues and keep an accurate account of the same, deposit all funds in the name of the Association in such banking institutions as the Executive Board may recommend, and pay all bills as approved by the Executive Board or by majority vote at a regular or special meeting of the Association. The Treasurer shall keep an accurate list of the membership.  The treasurer shall close the records on April Thirtieth (30) and have the financial records in the hands of the Auditor prior to the Annual Meeting.

Section 7--The Auditor shall examine the financial records of the Treasurer and present a written report at the Annual Meeting. A signed copy of the Auditor's Report shall be included in the Treasurer's records. In the event the position of Auditor is vacant, the Preident may appoint a member to perform the audit.

 

 

 

 

 

 

Article VI--Executive Board

Section 1--The Executive Board shall consist of the officers. The chairmen of the standing committees may attend on invitation of the President.

Section 2--The Executive Board shall have general supervision of the affairs of the Association between its meetings, make recommendations to the Association, fix the hour and place of the meetings and shall perform such other duties as are specified in the Bylaws.

Section 3--Meetings of the Executive Board may be called by the President and shall be called upon the request of three (3) members of the Executive Board.

Section 4--The Executive Board shall fill vacancies in offices subject to approval by a majority vote of the members at the next regular meeting.

Section 5--If an officer is absent from two meetings in succession, he/she can be replaced by a majority vote of the Executive Board.

Section 6--Three (3) members shall constitute a quorum of the Executive Board.

Article VII--Committees and Their Duties

Section I--The following standing committees may be appointed by the Executive Board: Membership. Graveyard Records, Legislation and Laws, and Publicity.

Section 2--The Membership Committee shall actively promote the growth of the Association.

Section 3--The Graveyard Records Committee shall coordinate activities related to the preservation of records and historical information.

Section 4--The Legislation and Laws Committee shall promote knowledge of the laws relating to the purposes of the Association.

Section 5--The Publicity committee shall publicize the various activities of the Association.

Section 6--Each committee chairman may choose two (2) members to serve on their committee.

Section 7--Additional committees may be authorized by the Executive Board when deemed necessary.

 

 

 

Article VIII--Nomination and Elections


Section 1--A Nominating Committee of three (3) members shall be established at the September meeting. The President shall appoint a chairman who will choose two (2) additional members.

Section 2--The Nomination Committee shall present its report at the Annual Meeting. Nominations may be made from the floor.

Section 3--The officers shall serve for one year or until their successors are elected. Their term of office shall begin at the close of the Annual Meeting at which they were elected. If there is only one (1) nominee for each office, election may be by voice vote. If there is more than one (1) nominee, election will be by a show of hands or by ballot if requested by two (2) or more members. A simple majority of members present and voting shall be necessary to elect.

Section 4--No members shall hold more than one (1) office at a time.

Article IX--Meetings

Section 1--Regular meetings of the Association may be held in May, July and December or in other months as decided by the Executive Board.

Section 2--The time and place of each regular meeting shall be communicated to all members at least  four (4) weeks prior to the regular meeting.

Section 3--The meeting in May shall be known as the Annual Meeting and shall be for the purpose of electing officers and receiving Annual Reports of officers and committees.

Section 4--All other business shall be transacted at any regular meeting.

Section 5—Members present at a meeting shall constitute a quorum of the Association at publically posted meetings, whether online or digitally posted.

Section 6--A special meeting may be called upon the written request of five (5) members of the Association. The purpose of the meeting shall be stated in the call, and no other business may be acted upon. Notification of the time and place of any special meeting shall be communicated to members at least two (2) weeks in advance of the meeting.

Section 7--In case a regular meeting must be postponed, the Secretary shall communicate the new time and place to the membership at least two (2) weeks prior to the meeting.

Article X--Dissolution

Upon the dissolution of the Association, none of the assets shall be distributed to or for the benefit of the members. All property of the Association, including title and rights of ownership and all funds deposited to its name or standing to its credit shall be transferred to The New Hampshire Historical Society. In the absence of two (2) consecutive Annual Meetings, a majority of the remaining previous members of the Executive Board, or a committee of five (5) previous members of the Association, may seek dissolution through Superior Court. Upon dissolution of the Association and after payment of just debts and liabilities, all remaining assets shall be distributed to the above named Society. If this organizations can accept such assets, the Executive Board may distribute the assets to any organization that enjoys an exempt status under section 501(c)(7) or 501(c)(3) of Internal Revenue Code of 1986, as amended, or successor provisions.

Article XI--Parliamentary Authority

The rules contained in Roberts Rules of Order, Newly Revised shall govern the Association in all cases in which they are applicable and in which they are not inconsistent with these Bylaws.

Article XII--Amendments

These Bylaws can be amended at any regular or special meeting of the Association by a two-thirds (2/3) vote of the members present and voting, provided the amendments have been sent to each members one (1) month before the meeting
